UScellular Referral Program

Official Terms & Conditions

UScellular and its affiliates (collectively, "USCC") maintain and sponsor this Referral Program (the “Program”). The Program begins on 5/9/2022 and is scheduled to end on 6/30/22 or when terminated by USCC, whichever occurs first. By participating in the Program, you agree that you have read, understood, and agree to be bound by these Terms & Conditions and the decisions of USCC, which will be final in all matters related to the Program.

I. ELIGIBILITY & REGISTRATION
Registration in the Program is voluntary, and open to anyone who is: (a) at least 18 years of age (at least 19 if a resident of NE); (b) a USCC customer as of 5/1/2022; and (c) is invited by USCC to create an account (i.e., register). By registering for the Program, you represent that you authorize USCC to contact you by telephone, email, or text message at the mobile number you entered upon registration. You hereby consent to receive up to 10 text messages from USCC using automated telephone technology including auto-dialers and text messages. Consent is not a requirement for purchasing good or services. Standard message and data rates apply.

Your participation in the Program is based upon providing USCC with potential names, email addresses and or mobile phone number of prospective customers for USCC services. Your participation in the Program is nontransferable and is subject to the then current Program Terms and Conditions. Your participation in the Program is valid only at USCC’s vanity URL. Your participation in the Program begins after you register at USCC’s vanity URL as described more fully below.

II. HOW TO EARN REWARDS

USCC will reward USCC customers Reward Dollars when existing customers refer contacts to become an USCC customer and when such customer signed up for an USCC service and retains such service for 15 days (a “successful customer”). Following a successful customer, you will receive notification via text or email letting you know that Reward Dollars have been deposited into your Program profile. Funds will be deposited after USCC verifies your eligibility.

USCC will invite existing customers to participate in the Program and become a “Referrer”. In order to become a Referrer, which will allow you to log into the Program, and submit and redeem Rewards in the Program, you must complete a registration process and signify your acceptance of these Official Program Terms and Conditions. Follow all online prompts and instructions and the instructions below, to register as a Referrer.

Steps to Register:

When registering you will receive a one-time password that will be texted to your mobile phone to validate the registration process. You will complete registration by entering the following information and any other information that may be requested of you at the Program website: [INSERT URL]

Username: this will default to your mobile phone number or you can create your own username. The username must be a unique username and cannot match any other users in the Program.
Password: You must also create a password for the Program.

After registration is complete, you only have to enter your username and password to log into the Program website. Upon initial login, you may change your personal password.

III. HOW TO SUBMIT A REFERRAL

To submit a referral, you will need to provide, on the Program website, the following information of the person being referred:

First Name, Last Name
Mobile Phone Number

This will trigger a communication to the referred phone number providing the opportunity to switch their service to USCC. All referred persons must be 18 years of age or older (19 or older if a resident of NE).

IV. HOW TO REDEEM POINTS; CLAIMING A REWARD
Reward Dollars earned and deposited in your personal account in the Program are redeemable for Rewards of your choice in the online catalog (subject to availability). The number of Reward Dollars required for the redemption of a specific item will be disclosed in the catalog. Reward Dollars can only be used for redemptions from the online catalog. Unless noted otherwise, Reward Dollars will expire if: a) you are terminated from the Program by USCC; or b) you deactivate your account. You will forfeit any Reward Points that are not redeemed before you are terminated or account is deactivated, as applicable. USCC reserves the right to modify the Rewards available in the online catalog at any time and without advance notice. Specific Rewards are subject to availability and substitutions may be made based on availability. You are eligible to earn a maximum of $550 Reward Dollars per calendar year. You cannot give or transfer your Reward Dollars to anyone else. By accepting a Reward, you acknowledge that USCC has neither made, nor is in any manner responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Reward item or any portion thereof, including but not limited to its quality, mechanical condition or fitness for a particular purpose. Use of Rewards is subject to the terms and conditions imposed on them by the issuer.

V. INDEMNIFICATION
By participating in the Program, you agree, at your own expense, to indemnify, defend and hold harmless, USCC and its affiliates, and each of their employees, representatives, directors, officers, and agents, (collectively, "Indemnified Parties") from and against any claim, suit, action, or other proceeding brought against any Indemnified Party based upon or arising from your participation in the Program, the redemption (or attempted redemption ) of any item from the online catalog, and your use/misuse/inability to use any such item.

VI. MODIFICATIONS
USCC reserves the right to modify the information contained on the Program website or these Terms and Conditions at any time without notice. You are responsible for regularly reviewing these Terms and Conditions on the Program website. Accessing this website after any changes to these Terms and Conditions have been posted thereon will constitute your acceptance of all such changes. Unless specifically stated otherwise, any new features, products or services added to the Program website are subject to these Terms and Conditions.

VII. COMMUNICATIONS & ACCOUNT INFORMATION
Communications about the Program will primarily be made electronically using e-mail, text message communications (applicable data rates may apply) or postings on the Program website. USCC is not responsible for communications lost due to change of address, change of e-mail address, change of phone number, or other changes to your contact information. You may view your account activity online on the Program website at any time. When you visit the website or send emails to USCC or its designees, you are communicating with USCC or its designees electronically. You hereby acknowledge and agree that all agreements, notices, disclosures, and other communications that Sponsor provides to you electronically satisfy any legal requirement that such communications be in writing. IX. TAXES
Rewards received under the Program may be subject to applicable federal, state and/or local taxes. Payment of taxes resulting from Rewards are your sole responsibility and not the responsibility of USCC, its designees, or any of its affiliates or agents.

X. SHIPPING AND HANDLING
Rewards received under the Program may be subject to shipping and handling charges. The shipping and handling charges are included in the Reward Dollar value associated with each item in the online catalog and are represented in the overall value of the item.

XI. NON-QUALIFYING [REFEREES? REFERRERS?]
There are certain consumers that are not eligible for USCC service. These will not be able to earn rewards in the Program.

XII. USCC PROGRAM ACCOUNT - CANCELLATION AND TERMINATION
A. Discontinuation or Changes. USCC reserves the right, without prior notice, to discontinue or change the Program and/or these Terms and Conditions, or to remove the website in whole or in part at any time.

All Reward Dollar values are subject to change. If the Program is suspended or terminated, any unredeemed Reward Dollars must be redeemed within one (1) month of the date of termination.
B. Questions and Disputes. All questions or disputes regarding eligibility for this Program, the eligibility of Reward Dollars for Rewards, the availability of Rewards or Reward Dollars, or these Terms and Conditions will be resolved by USCC at its sole discretion. You may cancel your account at any time by submitting the "Help Request" form online. Cancellation may take from three (3) to five (5) business days to finalize. You will not be eligible to earn or redeem Reward Dollars during the interim period. Upon cancellation, your account will be deactivated.
C. Account Cancellation or Deactivation. If your account is cancelled or deactivated, by USCC or you, any remaining Reward Dollars in your account will be forfeited. If you cancel your account or if your account is terminated, all personal information - including your street address, email addresses, phone numbers and all other information tied to your account - will be removed from the Program website and permanently erased from our records in compliance with applicable law.
D. Restriction, Suspension, and Termination. USCC may restrict, suspend, or terminate your access to the Program and/or your ability to earn or redeem Rewards Dollars at any time and without advance notice if we believe that you have breached these Terms and Conditions or have engaged in behavior that is disruptive or intended to harass any person or entity. Any such restriction, suspension, or termination will be without prejudice to any rights that we may have against you with respect to your breach of these Terms & Conditions.

XIII. CONFIDENTIALITY: DATA SECURITY
You are responsible for maintaining the confidentiality of your Program account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password.

XIV. PRIVACY POLICY
The Program website is housed and operated by Whapps, LLC dba Online-Rewards ("Online-Rewards") on behalf of USCC. The information collected on this website (phone number, street address, and other personal information) will only be used by USCC for purposes of the administration of this Program and the fulfillment of Rewards, and in any manner consistent with USCC’s Privacy Policy, available at http://www.uscellular.com/site/privacy/index.html

XV. GENERAL
By participating in this Program, you agree that: (a) any and all disputes, claims and causes of action arising out of, or connected with, the Program or any Reward shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate federal, state or local court located in Cook County, Illinois; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including but not limited to costs associated with participating in the Program, but in no event attorneys’ fees; and (c) to the extent allowed by applicable law, under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim, punitive, incidental and/or consequential damages and/or any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO RELEVANT PORTIONS OF THE ABOVE MAY NOT APPLY TO YOU.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, participants’ rights and obligations, or the rights and obligations of USCC in connection with the Program, shall be governed by, and construed in accordance with, the laws of the State of Illinois, without giving effect to any choice of law or conflict of law rules (whether of Illinois or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than Illinois.

In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Program-related materials or made by any representative of USCC or its designees, and these Terms and Conditions, these Terms and Conditions shall prevail, govern and control.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and USCC as a result of participation in the Program or use of the Program website. If any part of these Terms and Conditions is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms and Conditions will remain in effect. A printed version of these Terms and Conditions and of any notice given in electronic form will be admissible in judicial or administrative proceedings based on or relating to these Terms and Conditions, to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

XVI. TRADEMARKS & COPYRIGHT
USCC’s trademarks, service marks, logos, taglines, and any intellectual property rights embodied therein are the property of USCC. Unless otherwise stated herein, none of the materials on the Program website may be copied, reproduced, modified, distributed, sold, broadcast, stored, or otherwise used without the express written permission of USCC or the original copyright holder. Unauthorized use of materials contained on the Program website is expressly prohibited by law and may result in severe civil and criminal penalties. The materials specified above do not include the design and layout of the website. Elements of the Program website are protected by trade dress and other laws and may not be copied or imitated, in whole or in part. No logo, graphic, sound, or image from the Program website may be copied or retransmitted unless expressly permitted by USCC in a separate written agreement. Nothing on the Program website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark. USCC aggressively enforces its intellectual property rights to the fullest extent of the law. USCC’s trademarks may not be used in any way, including in advertising or publicity pertaining to distribution of materials on the Program website, without the prior, written permission of USCC.

XVII. PUBLICITY CONSENT

Acceptance of a Reward constitutes consent to USCC’s use of your name, likeness, photograph, voice, recorded image, opinions, hometown and/or state for promotional purposes in commerce and in any media, worldwide, (including but not limited to the internet and social media platforms) without limitation and without further notice, consent or compensation, except where prohibited.

XVIII. LIMITATION OF LIABILITY

USCC is not responsible for: (a) electronic transmissions or Rewards Dollars that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected, or not received by USCC for any reason; (b) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures, mobile device failures, or human error that may occur in the transmission, receipt or processing of Reward Dollars and/or Rewards, or for deletion, theft, alteration or destruction of, or unauthorized access to, your account; (c) failed or unavailable hardware, software or network; (d) causes beyond USCC’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Program; (v) incorrect or inaccurate account information whether caused by participants or by any of the equipment or programming associated with or utilized in this Program; (vi) any typographical or other error in any printing or advertising relating to the Program, in the administration or execution of the Program, or in the announcement of Rewards or Reward eligibility; or (vii) cheating or fraud by any participant.

Things we want you to know: Referral must port-in and activate new line of service on a postpaid account. A Customer Service Agreement with a 2-yr. initial term or 0% APR Retail Installment Contract for installment pricing and credit approval required. A Device Activation Fee may apply. A Regulatory Cost Recovery Fee applies; this is not a tax or gvmt. required charge. Additional fees, taxes, terms, conditions and coverage areas may apply and may vary by plan, service and phone. Referral Program: Current customers must register via the Referral Portal at www.uscellularrewards.com and invite referees via the Portal. Current customer acknowledges that by referring a friend through this program, current customer is releasing non-public information. Referred person acknowledges that payment of the referral may result in the current customer’s knowledge of referred person establishing an account with us. Offer limited to new accounts. New customer must port-in and activate a new line on a postpaid account and register via the Referral Portal within 15 days of new account activation. Once offer requirements are met, both customers will receive a text message on their UScellular phone that will include a link to a portal where customer may register and activate the promo card. Referrer is eligible to receive a maximum of $550 annually. Referee account activation must be after the Referrer registration date for the program. Both customers must have active accounts in order to receive cards. Offer is not available to UScellular or Authorized Agent employees.
